1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Brandspilot AB ("we", "our", or "us") governing your access to and use of the Brandspilot platform, website, and services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

2. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

3. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to provide accurate, current, and complete information about yourself and to update this information to maintain its accuracy.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. We encourage you to use a strong, unique password and to not share it with others.

You agree to notify us immediately of any unauthorized access to or use of your account. We cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements.

4. Subscription and Payments

4.1 Subscription Plans

We offer various subscription plans for our Service. The features and limitations of each plan are described on our pricing page. We reserve the right to modify, terminate, or otherwise amend our offered subscription plans.

4.2 Free Trial

We may offer a free trial period for our Service. At the end of the trial period, your account will automatically be charged for the subscription unless you cancel before the trial ends.

4.3 Billing

By providing a payment method, you authorize us to charge you for the subscription plan you have selected. Payments are non-refundable except as required by law or as explicitly stated in these Terms.

For monthly subscriptions, you will be billed on a recurring basis at the beginning of each billing cycle. For annual subscriptions, you will be billed once per year on the anniversary of your subscription start date.

4.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting our support team. Upon cancellation, your subscription will remain active until the end of your current billing period.

5. Acceptable Use

You agree not to use the Service:

In any way that violates any applicable law or regulation
To transmit any material that is defamatory, offensive, or otherwise objectionable
To impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity
To engage in any activity that interferes with or disrupts the Service
To attempt to gain unauthorized access to any portion of the Service
To collect or harvest any information from the Service
To upload or transmit viruses, malware, or other malicious code

6. Intellectual Property

6.1 Our Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Brandspilot AB and its licensors. The Service is protected by copyright, trademark, and other laws of both Sweden and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Brandspilot AB.

6.2 Your Content

You retain all rights to any content you submit, post, or display on or through the Service. By submitting, posting, or displaying content on or through the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such content in connection with providing the Service.

You represent and warrant that you own or have the necessary rights to all content you submit to the Service and that such content does not violate any third party's intellectual property or other rights.

7. Third-Party Services

The Service may contain links to third-party websites or services that are not owned or controlled by Brandspilot AB. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

8. Limitation of Liability

In no event shall Brandspilot AB, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Your access to or use of or inability to access or use the Service
Any conduct or content of any third party on the Service
Any content obtained from the Service
Unauthorized access, use, or alteration of your transmissions or content

Our liability is limited to the maximum extent permitted by law.

9. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Brandspilot AB does not warrant that the Service will function uninterrupted, secure, or available at any particular time or location, or that any errors or defects will be corrected.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of Sweden, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.
